Partner Terms

1. Scope and Acceptance

These Partner Terms (“Partner Terms”) govern participation in the PlusView venue network by any venue, business, or location operator (“Partner,” “Venue,” “you”). By requesting an evaluation, accepting installation, allowing display of PlusView content, or otherwise participating in the network, you agree to these Partner Terms.

PlusView (“PlusView,” “we,” “our,” or “us”) may require a separate written agreement for specific locations; however, these Partner Terms apply to all participation unless expressly superseded in writing.

 

2. Program Overview

PlusView partners with selected venues to display advertising content across our digital screen network. Venues that qualify may receive monthly payments for each screen that actively displays PlusView advertising, subject to compliance with these Partner Terms and any operational requirements communicated by PlusView.

PlusView provides a media display program. PlusView does not guarantee increased venue revenue, customer traffic, sales, or any specific commercial outcome for the Partner.

 

3. Venue Eligibility and Ongoing Requirements

Participation is subject to PlusView’s evaluation and ongoing eligibility standards. The Partner agrees to maintain conditions necessary for proper display, including:

  • Providing continuous access to power and a stable operating environment for the screens.
  • Keeping screens powered on and visible to patrons during agreed business hours.
  • Maintaining the display area in a reasonable condition (visibility, placement, and safety).
  • Not obstructing, relocating, disconnecting, tampering with, or disabling screens or related components without PlusView’s prior consent.

PlusView may re-evaluate eligibility at any time. Failure to maintain requirements may result in payment suspension or termination.

 

4. Installation, Access, and Site Cooperation

The Partner agrees to provide reasonable access for installation, inspection, troubleshooting, and maintenance, including access to relevant areas and personnel when necessary.

The Partner is responsible for ensuring PlusView installers/technicians can safely access the installation location. Any delays, restrictions, or refusal of access may impact service availability and payment eligibility.

 

5. Equipment Use, Care, and Restrictions

Any screens, hardware, mounting, media devices, or related equipment provided or managed by PlusView (“Equipment”) must be used solely for the purpose of displaying PlusView programming as directed.

The Partner shall not:

  • Sell, transfer, lease, sublease, or pledge the Equipment.
  • Modify wiring, settings, mounts, or placement without authorization.
  • Connect unauthorized devices or software to the Equipment.
  • Use the Equipment for unlawful content or non-approved programming.

The Partner must take reasonable care to prevent damage, theft, vandalism, or misuse. The Partner must promptly notify PlusView of any malfunction, damage, or suspected tampering.

 

6. Content, Compliance, and Venue Environment

PlusView controls the advertising and programming displayed on the network. The Partner acknowledges that PlusView may change content, schedules, and programming at any time.

PlusView will seek to maintain content appropriate for public venues; however, the Partner agrees that PlusView is not liable for subjective preferences, audience reactions, or third-party opinions regarding displayed content, to the maximum extent permitted by law.

The Partner remains responsible for compliance with all laws applicable to the venue’s operation, including licensing, permits, occupancy rules, and venue-specific regulations.

 

7. Payments and Eligibility

If the Partner qualifies for payments, PlusView may issue monthly payments per screen that actively displays PlusView advertising, subject to:

  • Ongoing compliance with these Partner Terms.
  • Operational uptime and visibility requirements.
  • Verification of screen activity (including reasonable monitoring methods).

Payments may be suspended, reduced, withheld, or adjusted if screens are offline, obstructed, disabled, or otherwise fail to meet program requirements. Payments are not owed for periods of non-compliance.

The Partner is responsible for any taxes, reporting, and legal obligations related to any payments received.

 

8. Monitoring and Verification

To ensure program integrity, PlusView may verify screen activity and display status through reasonable methods, which may include remote monitoring, periodic checks, or on-site verification.

The Partner agrees to cooperate with verification processes. Refusal to cooperate may result in suspension or termination.

 

9. Limitation of Liability

To the maximum extent permitted by law, PlusView shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to the Partner’s participation, including but not limited to loss of revenue, loss of profits, business interruption, or reputational impacts.

PlusView is not responsible for venue internet outages, power failures, third-party service interruptions, vandalism, theft, force majeure events, or any circumstances outside PlusView’s reasonable control.

 

10. Indemnification

The Partner agrees to indemnify, defend, and hold harmless PlusView, its officers, employees, affiliates, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising from:

  • The Partner’s breach of these Partner Terms.
  • The Partner’s negligence, misconduct, or unlawful activity.
  • Injuries, property damage, or losses occurring at the venue not caused solely by PlusView’s gross negligence.
  • The Partner’s failure to comply with applicable laws, regulations, or venue requirements.

 

11. Termination and Removal

PlusView may suspend or terminate participation at any time, with or without notice, if the Partner violates these Partner Terms or if PlusView determines continued participation poses legal, reputational, or operational risk.

Upon termination, PlusView may remove Equipment and discontinue service. The Partner agrees to provide reasonable access for removal. Any unpaid amounts, if applicable, remain subject to eligibility and compliance.

 

12. Force Majeure

PlusView shall not be liable for delays, interruptions, or failure to perform due to events beyond its reasonable control, including natural disasters, storms, power failures, internet outages, governmental actions, labor disputes, or other force majeure events.

During such events, screen activity and payment eligibility may be impacted.

 

13. Changes and Updates

These Partner Terms may be updated, modified, or replaced at any time to reflect changes in legal requirements, business practices, or operational needs.

Continued participation in the PlusView network after any changes are published constitutes acceptance of the updated terms.

 

14. Governing Law and Jurisdiction

These Partner Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States.

Any disputes arising out of or related to these Partner Terms shall be subject to the exclusive jurisdiction of the courts located in Miami-Dade County, Florida.
